Acceptance of Terms

This Agreement contains the complete terms and conditions that apply to your participation in
abundantialp.com (“Site”) maintained by
Abundantia LP (“Abundantia”). By accessing or using this Site and its related tools and services (“Services”),
you agree to enter into a binding agreement (“Agreement”) with Abundantia LP and to comply with all terms and conditions contained herein.
If you do not agree with these terms, please do not access or use the Site or its Services.

Modifications of Terms

Abundantia LP reserves the right to modify or update this Agreement at any time without prior notice.
The most recent version of the Agreement will always be posted on this Site, and continued use of the Site signifies your acceptance of any changes.

Eligibility and Investment Requirements

Abundantia LP is intended only for accredited investors as defined in Rule 501(a) of Regulation D under the U.S. Securities Act and applicable state laws,
and for persons residing abroad in jurisdictions where exemptions apply. It is the responsibility of each issuer and investor to verify accreditation status and comply with applicable laws.

This Agreement represents the entire understanding between you and Abundantia LP regarding the Site and Services, superseding all prior agreements or communications.
It shall be governed by the substantive laws of the State of Florida, without regard to conflict-of-law principles.

Dispute Resolution

Any dispute or controversy arising out of or relating to this Agreement shall be resolved exclusively through final and binding arbitration conducted under the rules of the
American Arbitration Association (AAA).
Arbitration shall take place in Miami, Florida, unless otherwise determined by the AAA. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

By agreeing to these Terms, you waive your right to participate in class actions or jury trials related to any dispute with Abundantia LP.
Both parties retain the right to seek injunctive relief in a court of law when necessary.
